Terms and Conditions
1. THIS AGREEMENT
As a Desktop office member, you will have 24/7 access to the Business Club area as well as 24/7 access to your office space.
Desktop is at any time entitled to reserve parts of the Business Club for its own use and to inform members which desks are available for their own use. The Business Club must be cleared at the end of each day, and you are solely responsible for your belongings. Items may be left inside your office, behind the locked door or at your designated desk, and you will be solely responsible for such items.
Members will maintain the facilities in their existing condition and notify Desktop immediately should any damage occur. The member is liable for any damage caused by the member or their guests.
Members will use the facilities in a way that regards the rights and interests of other users, including but not limited to noise levels, amount of space occupied and use of the wireless internet connection.
Members will comply with the Desktop House Rules and Use & Amenities guidelines which are attached to this document. Members will also ensure their guests are aware of and compliant with all of these.
2. LIABILITY
Desktop will have no liability in respect of any act, omission, neglect, delay or default by any of our staff, contractors, or agents. Desktop will not be responsible for any loss, damage or theft of property in the building, including any property stored in lockers or office spaces. Desktop is entitled to suspend the provision of Desktop services in the case of circumstances beyond our control (fire, flooding etc.). In such circumstances monthly membership payments will be suspended. The fee will resume when the premises are deemed usable again unless terminated per the terms of this agreement.
This agreement lasts for the period stated herein and will be extended automatically for 30-day periods (unless legal renewal term limits apply) until renegotiated or terminated by the member or Desktop. All periods shall run to the date of the month listed in this agreement.
3. TERMINATION
Either Desktop or the member can terminate this agreement at the end date stated herein, or at the end of any extension or renewal period by giving at least a 30-day notice, in writing. If notice is not given within 30 days, member will be charged for one extra month.
Desktop reserves the right to terminate this agreement if a member is in breach of any of these Terms & Conditions, the Desktop House Rules or the Use & Amenities guidelines. If a member becomes insolvent, bankrupt, goes into liquidation or administration, does not respond to any notice(s), ceases to carry out their business or becomes unable to pay their debts as they fall due, Desktop may terminate this agreement immediately without any requirement to give notice.
3a. DELINQUENCY
Failure to respond to any final notice(s) regarding payment within 10 days will result in immediate termination of this agreement, at the sole discretion of Desktop. All belongings in the office will be boxed up and removed and final notification sent. If items are not picked up 30 days after removal, they will be discarded.
4. GUESTS & VISITORS
A Desktop member can invite his/her clients and/or business contacts into the Business Club. All visitors must be signed in by the member at reception in advance of the visit. All coworking members and office holders receive 5 guest passes each month to use for guests who want to work in the business club. Office members may entertain guests in their office for as many days as they need.
5. GENERAL
Desktop memberships are personal and cannot be transferred, assigned or used by others.
Desktop’s local standard service agreement and conditions of use will automatically apply to member use of any particular service and member use of any accommodation(s). Desktop reserves the right to amend these Terms & Conditions and conditions of use at any time. Terms & Conditions of use are available upon request. We also reserve the right to alter or terminate the Desktop Membership program, or any account there under, at any time without notice. Under these circumstances, Desktop’s liability is limited to fees paid in advance.
Desktop reserves the right to adjust the membership fee at the time of renewal to compensate for inflation.
Members acknowledge and accept that your personal data may be transferred or made accessible to all entities of Desktop, wherever located, for the purposes of providing the services herein.
The Desktop Membership program is intended for your temporary use of our facilities. In order to best serve you and create a professional workplace for our members, we reserve the right to limit or terminate member usage if we consider it to be non-compliant with any applicable terms or conditions of use.
Desktop members may use this center as their business address with an accompanying office and mail handling agreement in place.
6. PAYMENTS
All payments for monthly membership fees and additional charges shall be paid by direct debit, unless otherwise agreed to by Desktop. Membership fees are to be paid monthly in advance. Member billing dates will commence on the day the membership begins for the rest of that month and each first of the month will be the renewal date thereafter. Collection for any additional fees takes place prior to the last day of each calendar month prior to the start date. Members agree to pay all fees when they are due. In the event that members do not pay fees when they are due, members may be charged a late fee and interest on the unpaid balance starting from the due date. Desktop may also suspend privileges until the dues are settled. Members may also be responsible for any additional charges incurred by Desktop attributable to the member. All amounts payable by the member under this agreement may be assigned to other members of the Desktop Group. Desktop will NOT issue monetary refunds of any kind. At the sole discretion of Desktop and upon the request of the member, a credit to the member account may be issued for use at a later date.
Member must give 30 days’ notice if they need to end their agreement for any reason. If 30 days is not given before the new month’s charges, member will be charged one extra month.
Discounts, Promotions and Offers: Members agree that, unless prohibited by applicable law, Desktop may discontinue with immediate effect and without the need to give formal written notice any and all discounts, promotions and offers remaining on this agreement if during its term you breach these terms and conditions, are one month past due in payment or are assessed a late fee in any two months.
Printing Services are available upon request and installment of the appropriate drivers to the member’s computer. Printing prices are an additional charge and will be charged once a month to the member based on the number of pages printed or copied. Member will keep their print codes private and not share with any other person. The member will be charged $ .10/page for both black and white or color printing and copying. Members will be billed as an additional charge once per month.
Subject to any statutory provisions to the contrary Desktop shall not be liable for the death of, or injury to members or guests or for any damage to any property of theirs, or for any losses, claims, demands, actions, proceedings, damages, costs or other liability incurred by them in the exercise of the rights granted by the agreement. Desktop shall not be liable in any way whatsoever for direct or indirect damage suffered by the member or his/her business including damage arising from the activities of other Desktop members, consequential loss, lost sales, unrealized profit, missed savings, loss or damage of data or damage as a result of the interruption of company operations.
This agreement is interpreted and enforced in accordance with the law of the place where the relevant Desktop center is located. All dispute proceedings will be conducted in the country, state or province where the Desktop center is located. The terms of this agreement are confidential and neither party shall disclose them without the other’s prior written consent, unless required to do so by law or an official authority.
7. CANCELLATION POLICY

Meeting room cancellations will not result in a refund as per the terms of this policy.

8. Hold Harmless Agreement
Desktop will have no liability in respect of any act, omission, neglect, delay or default by any of our staff, contractors, or agents. Desktop will not be responsible for any loss, damage or theft of property in the building, including any property stored in lockers, coworking area, phone booths or office spaces. Additionally, Desktop will have no liability for any injury to member’s children who may become injured either physically, emotionally, or psychologically while visiting Desktop with their parents/any members.
Member shall defend, indemnify, and hold harmless Desktop, its officers, officials, employees and volunteers from and against any and all claims, suits, actions, or liabilities for injury or death of any person, or for loss or damage to property, which arises out of member’s ise of premises, or from the conduct of member’s business, or from any activity, work or thing done, permitted, or suffered by member in or about the premises, except only such injury or damage as shall have been occasioned by the sole negligence of Desktop.
Desktop is entitled to suspend the provision of Desktop services in the case of circumstances beyond our control (fire, flooding, etc.). In such circumstances monthly membership payments will be suspended. The fee will resume when the premises are deemed usable again.
This agreement lasts for the period stated herein and will be extended automatically for 30-day periods (unless legal renewal term limits apply) until renegotiated or terminated by the member or Desktop. All periods shall run to the date of the month listed in this agreement, in which would otherwise expire. The fees on any renewal will be at the then prevailing market rate.

HOUSE RULES │ Desktop Coworking Community
These are Desktop’s House Rules which may change from time to time and which apply between Desktop and the member in relation to Desktop Coworking Community.

Upon Move In: Desktop will ask The Member to sign an inventory of all accommodation, furniture and equipment the member is permitted to use, together with a note of its condition, and details of the keys or entry cards issued to the member. If the member would like to hang things, they are not permitted to use anything that will leave a hole bigger than a thumbtack (command strips are suggested).

Upon Move Out: Desktop will perform an exit inspection of the office with the list of inventory that was signed upon move in. All keys issued to the member must be returned, and all Desktop property will be inspected. Any damages found will be charged to the member’s account.
$2 per hole bigger than a thumbtack.
$25 per damaged furniture.
$50 repaint fee for damaged wall or member changes to wall. -
Signage: Desktop reserves the right to charge a fee for any signage and to specify its design to ensure it remains in keeping with the space’s design. All signage must be approved by Desktop before install.

Property: The member must take good care of all parts of the Business Center, its equipment, fittings and furnishings that they use. The member must not alter any part of it.

Keys and Security: Any keys or entry cards which Desktop lets the member use remain Desktop’s property at all times. The member must not make any copies of the keys and/or entry cards or allow anyone else to use them without the Desktop’s consent. Any loss must be reported to Desktop immediately and the member must pay a reasonable fee for replacement keys or cards and for changing locks, if required. This rule improves security levels of the Business Center. If the member is permitted to use the Business Center outside normal working hours, it is the member’s responsibility to lock the doors to Desktop when they leave. This is to ensure the safety of individuals and property at the Business Center.

Treat each member and staff with respect and courtesy. Anyone who is acting in a manner that does not align with decency and respect will be subject to termination without any written notice from Desktop.

Treat the space with respect. Taking care of the furniture, the equipment and the space in general is up to all of us as a community. Also, when using your own equipment, please be respectful of the people around you. Do not take up more than your share of space. Do not use speaker phone in any area of the space. The speaker carries throughout the building even from the phone booths and private offices.
Use & Amenities │ Desktop Coworking Community -
Meeting Rooms: Each member will be credited with a number of hours of monthly meeting room time as part of the membership(s), in the designated meeting rooms.
We do allow members to use the meeting rooms on an impromptu basis, but we ask that members make sure the room is not booked and to keep these types of uses to no more than 15-minute intervals - booking as you go in the room.

Phone Booths: Use of the phone booths is on a first-come-first-served basis. Please use responsibly and be courteous of other members. Please limit use to no more than one hour at a time up to 3x per day.

Multi-Function Printer: Printing is 10 cents per copy, both black & white as well as color. Desktop utilizes individual print codes for each member and bills for all printing at the end of each month. If you need an individual print code, please email news@workatdesktop.com.

Network Settings/WIFI Use: The member network is “Desktop Works” and is BUSINESS WIFI. Please see Desktop staff for the most updated password. This network is tied to our workspace software and all use of this network is subject to an active membership that has WIFI included.

Mailbox Services: Office members can add mailbox services to their account at no additional charge and use this address to receive business mail. Please do not send personal mail to your business address. Packages will be stored in a secure area and members will be notified if they receive a package that does not fit inside their mailbox. This service is offered at no additional price to members who have a dedicated office space inside Desktop. It is up to the members to check their mailbox on a regular basis.

Restroom: Please use the restrooms the same way you would at your own home. If you cause a clog, please unclog. Please alert Desktop staff if there needs to be any paper towels or soap refills. If you notice anything that needs to be addressed, please let Desktop staff know.

The Local Doe: Office members receive free drip coffee from The Local Doe as part of their membership. Please keep in mind that this does not apply to guests.

Coworking Space: Please use and treat the space in a respectable manner. All coworkers must take all of their belongings with them at the end of each workday. Please clean up around your workstation, meeting room, or phone booth when you are finished. Push chairs in, wipe off whiteboards, return meeting room accessories, etc.
